Release of Liability AgreementThis Release of Liability Agreement (the "Agreement") is entered into by the undersigned participant (the "Participant") and Reverse Flip 1 LLC (the "Company"), in connection with participation in the Reverse Flip Live Event held at Renaissance Boca Raton Hotel 2000 Northwest 19th Street, Boca Raton, FL 33431, on Dec 7, 2024, and any associated events or activities (collectively referred to as the "Event").
1. Assumption of RiskThe Participant acknowledges and understands that:(a) Participation in the Event may involve activities that could carry inherent risks of injury, including but not limited to physical, financial, or emotional harm, and the potential for permanent disability or death.(b) The use, implementation, or attempted implementation of any ideas, processes, documents, resources, or recommendations presented at the Event may result in significant risk or loss.(c) The Participant knowingly and freely assumes all such risks, whether known or unknown, even if arising from the negligence of the Company or others.
2. Release of LiabilityIn consideration of being permitted to attend and participate in the Event, the Participant, on behalf of themselves, their heirs, personal representatives, agents, and assigns (collectively, the "Releasors"), hereby agrees to:(a) RELEASE, WAIVE, AND DISCHARGE the Company, its officers, employees, agents, affiliates, representatives, sponsors, advertisers, and venue owners or lessors (collectively, the "Releasees") from any and all liability, claims, demands, or causes of action that may arise from participation in the Event, including but not limited to injury, loss, or damage to person or property, whether caused by the negligence of the Releasees or otherwise.(b) INDEMNIFY AND HOLD HARMLESS the Releasees from any and all liabilities or claims made by other individuals or entities as a result of the Participant’s actions during the Event.
3. Medical ConditionsThe Participant acknowledges that it is their responsibility to disclose any medical or other conditions that may affect their ability to safely participate in the Event. The Participant confirms that they have disclosed any such conditions to the Company.
4. Compliance with Event RulesThe Participant agrees to comply with all stated and customary rules and instructions provided by the Company or its representatives for participation in the Event. The Participant will cease participation and promptly notify the Company if any unusual, significant hazard is observed.
5. Confidential Information(a) The Participant agrees to maintain the confidentiality of any proprietary or sensitive information disclosed during the Event, including but not limited to processes, systems, materials, and business strategies ("Confidential Information").(b) The Participant shall not use or disclose the Confidential Information without the express written consent of the Company, except as required by law.
6. Photography and Media Release The Participant grants the Company permission to use any photographs, video recordings, or other media taken during the Event for promotional or educational purposes without compensation.
7. Governing LawThis Agreement shall be governed by the laws of the State of Florida. Any disputes arising under this Agreement shall be resolved exclusively in the courts located in Broward County, Florida.
8. Entire AgreementThis Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings related to the Event. Any modifications must be made in writing and signed by both parties.
Acknowledgment and I HAVE READ THIS RELEASE OF LIABILITY AGREEMENT, FULLY UNDERSTAND ITS TERMS, AND SIGN IT FREELY AND VOLUNTARILY. I ACKNOWLEDGE THAT I AM GIVING UP SUBSTANTIAL RIGHTS BY SIGNING THIS AGREEMENT.
